1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and JIGSOL APPLIED INTELLIGENCE LIMITED ("Jigsol", "we", "us", or "our") governing your access to and use of our software platform and services.

By accessing or using Jigsol, you agree to be bound by these Terms. If you do not agree to all terms, you may not access or use our services.

2. Services Description

Jigsol provides a cloud-based business management platform including:

  • AI-powered automation and document processing
  • Analytics and business intelligence dashboards
  • HR, recruitment, and scheduling tools
  • Finance and procurement management
  • Integration with third-party accounting and business systems

Services are provided on a Software-as-a-Service (SaaS) basis with defined subscription tiers and pricing.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organisation. By registering, you represent that all information provided is accurate and current.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring compliance with our security requirements

3.3 User Accounts

You may create multiple user accounts for your team members. You are responsible for all activities conducted by users under your organisation's account.

4. Subscription and Payment

4.1 Subscription Plans

Services are offered under monthly or annual subscription plans. Current pricing is available atjigsol.ai/pricing

4.2 Payment Terms

  • Subscriptions are billed in advance on a recurring basis
  • Payment is due upon invoice or automated billing
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method for all fees incurred

4.3 Price Changes

We reserve the right to modify pricing with 30 days' notice. Changes will not affect your current subscription term but will apply upon renewal.

4.4 Late Payment

Failure to pay may result in service suspension or termination. We may charge interest on overdue amounts at 2% per month or the maximum rate permitted by law, whichever is lower.

5. Acceptable Use Policy

You agree NOT to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems or other user accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Use automated means to access the platform (except approved API integrations)
  • Resell, sublicense, or redistribute our services without authorization
  • Reverse engineer, decompile, or disassemble our software
  • Remove or modify any proprietary notices or labels

6. Data Ownership and Usage

6.1 Your Data

You retain all ownership rights to data, content, and information you upload to Jigsol ("Customer Data"). You grant us a limited license to process Customer Data solely to provide our services.

6.2 Our Intellectual Property

Jigsol platform, software, algorithms, designs, and documentation are our exclusive property and protected by copyright, trademark, and other intellectual property laws.

6.3 Usage Analytics

We may collect and analyze anonymized, aggregated usage data to improve our services, develop new features, and create industry benchmarks. This data will not identify you or your organisation.

7. Service Level and Availability

7.1 Uptime Commitment

We strive to maintain 99.5% uptime (excluding scheduled maintenance). Uptime is calculated monthly and excludes force majeure events and customer-caused downtime.

7.2 Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may occur without notice to address security vulnerabilities or critical issues.

7.3 No Warranty

Services are provided "AS IS" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the fees you paid in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of profits, revenue, data, or business opportunities
  • These limitations apply regardless of the legal theory (contract, tort, negligence, etc.)

Some jurisdictions do not allow limitation of liability for personal injury or certain statutory rights. In such cases, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Jigsol and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your Customer Data or use of our services
  • Unauthorized use of your account

10. Term and Termination

10.1 Subscription Term

Your subscription begins on the date of activation and continues for the selected billing cycle (monthly or annual) unless terminated in accordance with these Terms.

10.2 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial periods.

10.3 Termination by Us

We may suspend or terminate your access immediately if you:

  • Breach these Terms or our Acceptable Use Policy
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Pose a security risk to our platform or other users

10.4 Effect of Termination

Upon termination, your access will cease immediately. You may export your Customer Data within 30 days. After 30 days, we may delete your data in accordance with our retention policies.

11. Modifications to Services and Terms

We reserve the right to modify or discontinue services, features, or pricing at any time. We will notify you of material changes to these Terms via email or platform notice at least 30 days in advance. Continued use after changes constitutes acceptance.

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties agree to attempt good-faith negotiation before initiating legal proceedings.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any applicable order forms, constitute the entire agreement between you and Jigsol regarding our services.

13.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.

13.3 No Waiver

Our failure to enforce any provision does not constitute a waiver of that or any other provision.

13.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Force Majeure

Neither party is liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
